These Terms of Use govern access to and use of the Diapasão platform — including e-commerce, management (ERP), POS, invoice issuance, CRM, and AI customer service. By creating an account, subscribing to a plan, or using any part of the service, you agree to these terms.
If you use Diapasão on behalf of a company, you represent that you have the authority to bind it to these terms. If you disagree with any condition, do not use the platform.
02 Description of the service
Diapasão is a commerce platform that brings together, under a single contract, the tools a merchant would normally contract separately:
- Online store and catalog management;
- Management (ERP): inventory, orders, and finances;
- POS (point of sale) for the counter;
- Electronic invoice issuance (NF-e / NFC-e);
- CRM and AI customer service via WhatsApp.
Some artificial intelligence features (such as the support bot) consume credits from your plan based on usage. AI-generated responses may contain errors or inaccuracies, must be supervised by you, and do not constitute legal, accounting, or tax advice.
We may evolve, add, or discontinue features at any time, notifying you with reasonable advance notice when the change is significant.
03 Registration and account
To use Diapasão you must provide true, complete, and up-to-date information. You are responsible for keeping your credentials confidential and for all activity carried out on your account.
Notify us immediately in the event of unauthorized use. We recommend enabling two-step verification when available.
04 Plans, payment, and renewal
The prices and limits of each plan are presented on the plans page at the time of subscription. Subscriptions are charged on a recurring basis (monthly or annually), according to the chosen cycle, and renew automatically until canceled.
- The free trial period, when offered, does not require a credit card;
- Applicable taxes may be added to the plan price;
- Each plan has usage limits (such as invoices and AI credits per month); once reached, the feature may be unavailable until renewal or an additional purchase;
- In the event of non-payment, access may be suspended after prior notice.
Price adjustments are communicated at least 30 days in advance and take effect in the following cycle.
05 Sales, payments, and split
If you sell through the store, payments are processed by our partner Pagar.me. To do so, you are registered as a recipient and must complete identity verification (KYC) by providing accurate and up-to-date personal and banking information.
Sales may be subject to a platform commission and payment processing fees, automatically deducted via split before funds are transferred to you, according to your plan's terms. Payouts follow the payment partner's schedule.
You are responsible for your store's sales — for the products, delivery, customer service, and any refunds and chargebacks from your customers. Diapasão provides the technology that connects your store to the payment method, but is not a party to the transaction between you and your customer.
06 Acceptable use
You agree to use Diapasão lawfully and not to:
- Sell products or services prohibited by law;
- Infringe the rights of third parties, including intellectual property;
- Attempt to access areas, data, or systems without authorization;
- Overload, compromise, or attempt to circumvent the platform's security;
- Use AI customer service to send misleading messages or spam.
07 Customer content and data
All the content you enter into the platform — catalog, customers, sales, and other records — remains yours. Diapasão acts as a processor of this data to provide the service and follows the Privacy Policy.
You grant Diapasão a limited license to store and process this content to the extent necessary to operate the platform. You can export your data at any time.
With respect to your customers' data, you are the controller: it is your responsibility to have a legal basis for processing it, to use WhatsApp and email channels lawfully (no spam), and to be accountable for messages sent — including those generated by the AI bot to your customers.
08 Invoices and tax responsibility
Invoices are issued through our partner NFE.io, which transmits the data to SEFAZ. Diapasão provides the tool; accuracy of the tax data is your responsibility.
You are responsible for keeping your registration and tax regime up to date, for uploading a valid digital certificate (A1), and for reviewing the details of each invoice. SEFAZ or fiscal partner outages may affect issuance and are beyond our control.
09 Availability and support
We work to keep the platform available and stable, but the service is provided "as is". Scheduled maintenance is announced in advance whenever possible.
Support is provided through the channels indicated in your plan. Features that depend on third parties (payment methods, carriers, SEFAZ, WhatsApp) may experience outages beyond our control.
10 Cancellation and suspension
You can cancel your subscription whenever you want, with no penalty, taking your data with you. Cancellation ends renewal at the end of the current cycle.
We may suspend or terminate accounts that violate these terms, that pose a security risk, or that are in default, with prior notice whenever possible.
11 Limitation of liability
To the maximum extent permitted by law, Diapasão is not liable for lost profits or indirect damages arising from the use of, or inability to use, the platform.
Our total liability, in any event, is limited to the amount you paid in the 12 months prior to the event giving rise to the claim.
12 Changes to the terms
We may update these terms to reflect legal or service changes. When the change is significant, we will notify you by email or within the platform. Continued use after the changes take effect means agreement with the new version.
13 Governing law and jurisdiction
These terms are governed by the laws of the Federative Republic of Brazil. The courts of the district where Diapasão has its registered office are designated to settle any disputes, except where consumer law provides otherwise.
